Autoclient provides digital marketing services including but not limited to search engine optimization (SEO), pay-per-click advertising (PPC), web design, content creation, AI automation, and marketing consulting ("Services").
2. Use of Website
Eligibility: You must be at least 18 years old to use our Services.
Acceptable Use: You agree to use our website and Services only for lawful purposes and in accordance with these Terms. You may not:

3. Communications & Marketing Consent

4. Client Services & Agreements
Service Agreements: Specific Services may be governed by separate written agreements, statements of work, or proposals. In the event of a conflict, the specific service agreement takes precedence over these general Terms.
Fees & Payment: Fees for Services are outlined in your service agreement. Payment terms, refund policies, and cancellation terms are specified in your individual agreement.
Client Responsibilities: You agree to:
• Provide accurate and timely information
• Respond to requests for materials or feedback
• Grant necessary access to accounts, platforms, and systems
• Comply with platform policies (Google, Meta, etc.)
5. Intellectual Property
Our Content: All content on our website, including text, graphics, logos, images, software, and design, is the property of Autoclient or its licensors and is protected by copyright, trademark, and other intellectual property laws.
Client Content: You retain ownership of any content you provide to us. By providing content, you grant us a license to use, modify, and display it as necessary to provide our Services.
Work Product: Ownership of deliverables is specified in your service agreement. Generally, upon full payment, you own the final work product, while we retain rights to methodologies, tools, and pre-existing materials.
6. Third-Party Services
Our Services may integrate with or rely on third-party platforms (Google Ads, Meta Ads, analytics tools, etc.). Your use of those platforms is subject to their own terms and policies. We are not responsible for third-party services or their performance.
7. Disclaimers & Limitation of Liability
No Guarantees: While we strive for excellent results, we do not guarantee specific outcomes, rankings, traffic levels, or revenue increases. Marketing performance depends on many factors outside our control.
"AS IS" BASIS: Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of Liability: To the maximum extent permitted by law, Autoclient shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from or related to our Services.
Maximum Liability: Our total liability for any claims related to our Services shall not exceed the amount you paid us in the 12 months preceding the claim.
8. Confidentiality
We respect the confidentiality of your business information. We will not disclose confidential information to third parties except:
• With your consent
• To service providers bound by confidentiality obligations
• As required by law
• To enforce our rights or protect our interests
9. Termination
By You: You may stop using our Services at any time. Termination terms for ongoing services are specified in your service agreement.
By Us: We reserve the right to suspend or terminate your access to our Services if you violate these Terms or engage in fraudulent, abusive, or illegal activity.
Effect of Termination: Upon termination, you remain responsible for any outstanding fees. Provisions related to intellectual property, disclaimers, and limitation of liability survive termination.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
No Agency: Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and Autoclient.
